ONLINE/INTERNET BANKING SERVICE AGREEMENT
GENERAL TERMS AND CONDITIONS

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY. THEY GOVERN YOUR ACCESS AND USE OF ROXBORO SAVINGS BANK's ONLINE BANKING APPLICATION. BY ACCESSING OR USING THIS SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ACCEPT THEM IN FULL, AS THEY MAY BE MODIFIED BY ROXBORO SAVINGS BANK FROM TIME-TO-TIME AND POSTED ON THIS SERVICE.

NOTE: ONLINE/MOBILE BILL PAYMENT SERVICES, MOBILE BANKING/MOBILE REMOTE DEPOSIT CAPTURE SERVICES, AND ELECTRONIC DELIVERY OF STATEMENT SERVICES REQUIRE YOU TO AGREE TO OTHER TERMS AND CONDITIONS PRIOR TO ENROLLMENT IN THOSE PROGRAMS. ACH ORIGINATION AND WIRE TRANSFER SERVICES ARE SUBJECT TO A PRE-AUTHORIZATION PROCESS AND SEPARATE TERMS AND CONDITIONS BEFORE MAKING THEM AVAILABLE. A FULL EXPLANATION, DISCLOSURE AND SERVICE AGREEMENT OF ACH ORIGINATION AND WIRE SERVICES ARE MADE AT TIME OF ENROLLMENT FOR THESE SERVICES.

No Warranties. Although Roxboro Savings Bank attempts to provide accurate information, names, images, pictures, logos, icons, documents, and materials (collectively, the "Contents") on the SERVICE, it makes no representation, endorsement, or warranty that such Contents are accurate or suitable for any particular purpose. THE SERVICE AND ITS CONTENTS ARE PROVIDED ON AN "AS IS" BASIS. USE OF THE SERVICE AND ITS CONTENTS IS AT THE USER'S SOLE RISK. THE SERVICE AND ITS CONTENTS ARE PROVIDED WITHOUT ANY REPRESENTATIONS, ENDORSEMENTS, OR WARRANTIES OF ANY KIND WHATSOEVER, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF TITLE OR ACCURACY AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, WITH THE SOLE EXCEPTION OF WARRANTIES (IF ANY) WHICH CANNOT BE EXPRESSLY EXCLUDED UNDER APPLICABLE LAW. AS NOTED BELOW, ROXBORO SAVINGS BANK ALSO MAKES NO REPRESENTATIONS, ENDORSEMENTS, OR WARRANTIES, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO ANY SERVICE OPERATED BY A THIRD PARTY.

Finally, without limitation as to the foregoing, in regard to Limitation of Liability: IN NO EVENT WILL ROXBORO SAVINGS BANK OR ITS SUBSIDIARIES, AFFILIATES, CONTRACTORS, OR THEIR RESPECTIVE DIRECTORS OR EMPLOYEES BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, WHETHER UNDER A CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, ARISING IN CONNECTION WITH ANY PARTY'S USE OF THE SERVICE OR IN CONNECTION WITH ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, LINE SYSTEM FAILURE, LOSS OF DATA, OR LOSS OF USE RELATED TO THIS SERVICE OR ANY SERVICE OPERATED BY ANY THIRD PARTY OR ANY CONTENTS OF THIS SERVICE OR ANY OTHER SERVICE, EVEN IF ROXBORO SAVINGS BANK IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES.

Use of SERVICE. Contents are included in this SERVICE solely for the personal use of SERVICE users. You may not copy (other than a copy for personal use), modify, distribute, transmit, display, perform, reproduce, transfer, resell, or republish any of the Contents of this SERVICE without the prior written consent of Roxboro Savings Bank, which may be withheld in its sole discretion.

Copyrights and Other Intellectual Property. Except where otherwise expressly noted or as noted below, all Contents of this SERVICE, including the graphics, icons and overall appearance of the SERVICE, are the sole and exclusive property of Roxboro Savings Bank. Certain Roxboro Savings Bank's trademarks and/or service marks are also listed below. The posting of the Contents of this SERVICE neither constitutes a waiver of any of Roxboro Savings Bank's proprietary rights or any other party's proprietary rights, including but not limited to, copyrights, trademarks, service marks, patents, and other intellectual property, nor a transfer by implication, estoppel, or otherwise of any such rights or of any license to the SERVICE user or to any third party. Contents of this SERVICE are protected by United States and international copyright laws, both as individual works and as a collection and by United States and international trademark laws. You agree not to delete any copyright, trademark or similar notice from any Contents you obtain from the SERVICE.

The display of third party trademarks within this SERVICE does not grant a license of any kind to the reader. Any downloading of material contained in the site, or of any site linked to the site may be a violation of federal trademark and copyright laws. Any downloading of Contents of this SERVICE or any SERVICE linked to this SERVICE may be a violation of federal and other trademark laws and federal copyright laws.

Links to Other SERVICEs. Roxboro Savings Bank may establish links between this SERVICE and one or more SERVICEs operated by third parties. Roxboro Savings Bank has no control over any such other SERVICEs or the contents therein. The existence of any such links shall not constitute an endorsement by Roxboro Savings Bank of such SERVICEs, the contents of the SERVICEs, or the operators of the SERVICEs.

Transmissions to and from this SERVICE. Except where expressly indicated otherwise, transmissions to and from this SERVICE or directed to Roxboro Savings Bank, including e-mails, are not sent in a secure form and can be intercepted by third parties and may not be immediately received by the appropriate business unit at Roxboro Savings Bank. Please do not use e-mail to send us communications which contain confidential information, which we require to be in writing, or which need our immediate attention. Any transmission to this SERVICE, including e-mails shall be deemed and remain the property of Roxboro Savings Bank. Roxboro Savings Bank shall be free to use, for any purpose, any ideas, concepts, know-how, or techniques provided by a SERVICE user to Roxboro Savings Bank through this SERVICE. Modifications. Roxboro Savings Bank may at any time make modifications, changes, and alterations to the Contents of this SERVICE, including these Terms and Conditions, without prior notice. You are responsible for regularly reviewing these terms and conditions. Your continued use of this SERVICE following any modifications, changes, or alterations shall constitute your acceptance of such modifications, changes, or alterations.

Governing law. These Terms and Conditions shall be governed by and construed in accordance with the law of the State of North Carolina, without regard to the conflict of laws thereof, and to the laws of the United States.

Venue. Disputes arising from the use of this SERVICE shall be exclusively subject to the jurisdiction of any federal or state court for the State of North Carolina. Severability. To the extent any portion of these Terms and Conditions is determined to be unenforceable by a court of competent jurisdiction, such portion will be modified by the court solely to the extent necessary to cause such portion to be enforceable, and these Terms and Conditions, as so modified, shall remain in full force and effect.

Waiver. No waiver by Roxboro Savings Bank of any right under or term or provision of these Terms and Conditions will be deemed a waiver of any other right, term, or provision of these Terms and Conditions at that time or a waiver of that or any other right, term, or provision of these Terms and Conditions at any other time.

As noted later in these Terms and Conditions, a secure message option is available via our on-line banking platform once you sign on with your password to a secure session of RSB online banking.

General Terms and Conditions-Online/Internet Banking Service Agreement

Introduction

This Online/Internet Banking Agreement ("Internet Banking Agreement") for accessing your accounts via Roxboro Savings Bank's internet banking portal explains the terms and conditions governing the following online services: banking, bill pay1, mobile and mobile remote deposit2 and other banking services offered through Roxboro Savings Bank. By using the Internet Banking Services you agree to abide by the terms and conditions of this Internet Banking Agreement. This Internet Banking Agreement will be governed by and interpreted in accordance with all applicable federal laws and regulations. The following rules will apply to the extent there is no applicable federal law or regulation. The terms "we," "us," "our," and "Bank" refer to Roxboro Savings Bank. "You" refers to each signer on an account. The term "business days" means Monday through Friday, excluding Saturday, Sunday and federal banking holidays.

Internet Banking Services can be used to access certain Bank accounts through Roxboro Savings Bank. The terms and conditions of the applicable Deposit Account Agreements and Disclosures for each of your Bank accounts (your "Account Disclosure Statement") as well as your other agreements with the Bank, such as those you entered into for loans, continue to apply notwithstanding anything to the contrary in this Internet Banking Agreement.

  1. Online Bill Payment Services require you to agree to other terms and conditions prior to enrollment
  2. Mobile Banking/Mobile Remote Deposit Captures Services require you to agree to other terms and conditions prior to enrollment.
  3. Electronic Delivery of Bank Statement requires you to agree to other terms and conditions.
  4. ACH Origination Services require a pre-authorization process and your agreement to other terms and conditions prior to enrollment; (available to business banking customers only).
  5. Wire Transfer Services require a pre-authorization process and your agreement to other terms and conditions prior to enrollment. (available to business banking customers only).

You are being provided this agreement and disclosure electronically. This agreement provides that in the future you may be provided other disclosures electronically. By agreeing to the terms and conditions of this agreement, you agree to the electronic transmission of this agreement and other information relating to this agreement in the future.

Accessing Your Bank Accounts through Roxboro Savings Bank Internet Banking

A. Requirements

To access your accounts through Roxboro Savings Bank, you must have an eligible Bank account, a User ID, and an online password...for consumer banking; and an assigned Company ID, User Name, and an online password ... for business banking. Additionally, you must have internet access and secured devices that meet the minimum requirements to run Online/Internet Banking services. In the case of security requirements, Automatic update services should be set to check for and install Operating System, Firewall, Antivirus and Antispyware protection updates. Roxboro Savings Bank Online/Internet Banking services can be used to access only Bank accounts for which you are authorized to access. We undertake no obligation to monitor transactions through Roxboro Savings Bank to determine that they are made on behalf of the account holder. Additional information for Business Banking account customers: If your accounts are owned by an entity other than a natural person or were established primarily for business, commercial or agricultural purposes, "Master Users" (an account-authorized user with Manage Users entitlements) may at their discretion grant 'entitlements' to additional users what they deem the appropriate levels of access to company accounts. All Online Banking electronic fund transfers and/or transactions, whether initiated by a "Master User" or those entitled by the "Master User" will be considered an "authorized use," and your liability for any Online Banking transaction relation to the account will be unlimited, notwithstanding the provisions of the Electronic Fund Transfer Act, Regulation E, or any standardized literature or disclosures you have previously received or we may send you.

B. Secure Messaging

Sending secure messages through Roxboro Savings Bank's online banking is a secure way to communicate with the Bank. Roxboro Savings Bank has provided an E-mail format for you to ask questions about your account(s) or give comments on your banking service. This E-mail module is accessible after you sign on with your password to a secure session of Roxboro Savings Bank's online banking. To ensure the security of your account information, we recommend that you use only this E-mail format when asking specific questions about your account(s).

C. New Services

Additional electronic banking services may be added by us from time-to-time in our sole discretion. By using these additional services when they become available, you agree to be bound by the rules contained in the Online/Internet Banking Agreement and the Terms and Conditions associated with the new services, as such Terms and Conditions are provided to you by us. Additionally, the Bank reserves the right, without penalty or liability, to withdraw or discontinue any of the Service's basic or additional features or modules from a customer at any time.

D. Benefits of Using Roxboro Savings Bank's Online Banking Service

Through Roxboro Savings Bank's online banking service, you can manage your eligible personal accounts from your home or office on your personal computer. You can use Roxboro Savings Bank to:

  • View account balances and review transaction history for checking, savings and loan accounts.
  • Open new accounts online via our "Open a New Account" link with the online banking module. This link is also available on the www.roxborosavings.com home page (for consumer banking only)
  • Set up customized account alerts
  • Transfer money between internal and external accounts.
  • Request Stop Payments
  • Pay bills to any merchant, institution or individual with a U.S. address. Online Bill Payment Service requires you to agree to other terms and conditions prior to enrollment
  • Mobile Banking/Mobile Remote Deposit Capture. Mobile Banking/Mobile Remote Deposit Captures Services require you to agree to other terms and conditions prior to enrollment
  • Reorder checks - Charges will vary depending on type of account and checks ordered
  • Communicate directly, and securely, with the Bank via our online banking secure messaging module.

E. Periodic Statements

You will not receive a separate Online Banking statement. Transfers to and from your accounts using Online Banking will appear on the monthly/quarterly statements for your Accounts.

I. Terms and Conditions

The first time you access your Bank accounts through Roxboro Savings Bank's Online Banking service, you will be required to review our Internet Banking Agreement. Access to your Roxboro Savings Bank accounts will be prohibited until this Agreement is confirmed by you; acknowledging your receipt, acceptance, and understanding of the terms and conditions.

A. Your Online Password

Your User ID, and an online password...for consumer banking; and an assigned Company ID, User Name, and an online password ... for business banking will give you access to your Bank accounts through Roxboro Savings Bank. This password can be changed within Roxboro Savings Bank from the Change Password screen. We recommend that you change your password regularly. We are entitled to act on instructions received under your password. For security purposes, it is recommended that you memorize this online password and do not write it down. You are responsible for keeping your password and account data confidential.

Upon registering for this service, the device used for your initial registration will become your primary access device and will remain your primary device until changed via an out-of-band secure code process. For your account's security, should you attempt to access online banking on a device other than your 'primary', you will receive an out-of-band secure 'validation' code via text or voice to be used to securely access this service through this new device. Simply follow the instructions provided.

B. Our Liability

If we do not complete a transfer to or from your account on time or in the correct amount according to our agreement with you, we will be liable for your losses or damages. See separate Bill Payment Services and/or Mobile Banking/Mobile Remote Deposit Capture Terms and Conditions for more detailed information. However, there are some exceptions. We will not be liable, for instance:

  • If, through no fault of ours, you do not have enough money in your account to make a transfer or bill payment.
  • If a legal order directs us to prohibit withdrawals from the account.
  • If your account is closed or if it has been frozen.
  • If you, or anyone you allow, commits any fraud or violates any law or regulation.
  • If any electronic terminal, telecommunication device or any part of the electronic fund transfer system is not working properly.
  • If you have not provided us with complete and correct payment information, including without limitation the name, address, account number, and payment amount for the payee on a bill payment.
  • If you have not properly followed the instructions for using Roxboro Savings Bank Internet Banking.
  • If circumstances beyond our control (such as fire, flood or improper transmission or handling of payments by a third party) prevent the transfer or bill payment, despite reasonable precautions taken by us.

Except as specifically provided in this Agreement or where the law requires a different standard, you agree that neither we nor the service providers shall be responsible for any loss, property damage or bodily injury, whether caused by the equipment, software, the Bank, OR by Internet browser providers OR by Internet access providers OR by online service providers OR by an agent or subcontractor of any of the foregoing. Nor shall the service providers or we be responsible for any direct, indirect, special or consequential, economic or other damages arising in any way out of the installation, use or maintenance of the equipment, software, the Internet Banking Services, or Internet browser or access software.

INDEMNIFICATION. As noted earlier, except to the extent that we are liable under the terms of this Agreement or an agreement that otherwise governs your Eligible Bank Account, if you are an owner of an Eligible Bank Account you agree to indemnify and hold us, our directors, officers, employees and agents harmless from all loss, liability, claims, demands, judgments, attorney fees, costs, interest, and expenses arising out of or in any way connected with an Eligible Bank Account or the performance of an Internet Banking Service. This indemnification is provided without regard to whether our claim for indemnification is due to the use of the Internet Banking Service by you or your authorized representative.

C. Hours of Accessibility

You can access your Bank accounts through Roxboro Savings Bank Internet Banking seven days a week, 24 hours a day. However, at certain times, some or all of Roxboro Savings Bank may not be available due to system maintenance. During these times, you may use our touch-tone telephone service, 1-800-436-5137 - Telephone/Voice Banking System, a Roxboro Savings Bank ATM or a branch to conduct your transactions.

Funds transfers (internal-between RSB accounts; and external-between a RSB account and an external account) initiated through Roxboro Savings Bank Internet Banking before 4 PM (Eastern Time) on a business day is posted to your account the same day. All transfers completed after 4 PM (Eastern Time) on a business day or on a Saturday, Sunday or banking holiday, will be posted on the next business day.

Roxboro Savings Bank business hours are Monday through Friday, 9 AM through 5 PM, except for banking holidays. "Banking holidays" shall mean all federal banking holidays.

D. Additional Terms and Conditions

  • Obtaining Account Balance and Transaction History - You can obtain balance and transaction history on all eligible accounts that are enrolled in the Roxboro Savings Bank Internet Banking. Account balance and transaction history reflects activity through the close of the previous business day.
  • Transferring Funds - The number of transfers from a savings account or money market account is limited as described in the applicable Account Disclosure Statement. If a hold has been placed on deposits made to an account from which you wish to transfer funds, you cannot transfer the portion of the funds held until the hold expires.

II. General Terms

A. Changes to Charges, Fees or Other Terms

We reserve the right to change the charges, fees or other terms described in this Internet Banking Agreement. When changes are made to any fees, charges, or other material terms we will update this Internet Banking Agreement, and either send a notice to you at the address shown on our records, or send you an electronic mail message (E-mail). We also reserve the option, in our business judgment, to waive, reduce or reverse charges or fees in individual situations. Changes to fees applicable to specific accounts are governed by the applicable Miscellaneous Fee Schedule.

B. Other General Terms

  • Other Agreements - In addition to this Agreement you agree to be bound by and will comply with the requirements of the applicable Account Disclosure Statement, the Bank's rules and regulations, the rules and regulations of any funds transfer system to which the bank belongs, and applicable state and federal laws and regulations. We agree to be bound by them also.
  • Bank's Right to Terminate this Agreement - The Bank reserves the right to terminate this Internet Banking Agreement and your access to Internet Banking Services through Roxboro Savings Bank, in whole or in part, at any time without cause, at our discretion.
  • Assignment - The Bank may assign this Internet Banking Agreement to its parent corporation or to any now-existing or future direct or indirect subsidiary of its parent corporation. The Bank may also assign or delegate certain of its rights and responsibilities under this Internet Banking Agreement to independent contractors or other third parties.

C. Severability

If any section, sentence, clause or phrase of this Agreement is held to be invalid or unconstitutional by any Court of Competent jurisdiction, then said holding shall in no way affect the validity of the remaining portions of this Agreement.

III. Protecting Your Account

A. Preventing Misuse of Your Account

Your role is extremely important in the prevention of any wrongful use of your account. You must promptly examine your statement upon receipt. If you find that your records and ours disagree, you must immediately call Roxboro Savings Bank Customer Service at (336) 599-2137. For more information, see Section C below for information on "Unauthorized Transactions in Your Bank Accounts".

Protecting Personal Information - In addition to protecting your account information, you should take precautions to protect your personal identification information, such as your driver's license, Social Security Number, etc. This information by itself or together with information on your account may allow unauthorized access to your account(s). It is your responsibility to protect personal information with the same level of care that you protect your account information.

Taking Care of Your Online Password - The password that is used by you to gain access to Internet Banking Services through Roxboro Savings Bank should be kept confidential. For your protection we recommend that you change your online password regularly. We recommend that you memorize this online password and do not write it down. You are responsible for keeping your password, account numbers and other account data confidential. If you believe that your online password may have been lost or stolen, or that someone has transferred or may transfer money from your account without your permission, change your password at once and notify Roxboro Savings Bank Customer Service at once at (336) 599-2137.

B. Other Recommended Best Practices for Online Banking

User ID and Password Guidelines

  • Create a "strong" Password with at least 8 characters that includes a combination of numbers, upper & lowercase letters, as well as special characters.
  • Change your Password frequently or as soon as possible if you have any reason to believe that others may know it.
  • Never share Account information, User ID or Password information.
  • Never leave your Account information within range of others.
  • Avoid using an automatic login feature that saves User ID and Passwords.
  • Do not send privileged Account information such as User ID and Passwords in any public e-mail system.

General Guidelines

  • Secure your personal computer by utilizing a personal firewall and running updated anti-virus and anti-spyware software to reduce the possibility of having the information you type captured and sent to unauthorized parties.
  • Do not use public or other unsecured computers for logging into Online Banking.
  • Check your last login date and time, and transfer history every time you log in.
  • Review Account balances and detail transactions regularly (preferably daily) to confirm payment and other transaction data and immediately report any suspicious transactions to the Bank.
  • Take advantage of and regularly view system alerts, such as balance alerts and transfer alerts.
  • Don't use Account numbers, your Social Security number, or other Account or personal information when creating Account nicknames or other titles.
  • Review historical reporting features of your Online Banking application on a regular basis to confirm payment and other transaction data.
  • Never leave a computer unattended while using Online Banking.

Online Payments, Account Transfers & Account Data

  • When you have completed a transaction, ensure you log off to close your computer connection.
  • Reconcile by carefully monitoring Account activity and reviewing all transactions on a daily basis.
  • Review historical and audit reports regularly to confirm transaction activity.
  • Utilize available alerts for funds transfer activity.

C. Unauthorized Transactions in Your Bank Accounts

Notify us at once if you believe another person has improperly obtained your online password. Also notify us if someone has transferred or may transfer money from your account without your permission, or if you suspect any fraudulent activity on your account. Only reveal your account number to a legitimate entity for a purpose you authorize (such as your insurance company for automatic payments). To notify us, call Customer Service at (336) 599-2137.

If your online password has been compromised and you tell us within two (2) business days after you learn of the loss or theft, you can lose no more than $50 if someone used your online password without your permission to access a Bank deposit account. If you do NOT tell us within two (2) business days after you learn of the loss or theft, and we could have stopped someone from taking money without your permission had you told us, you could lose as much as $500. Also, if your statement shows withdrawals, transfers or purchases that you did not make or authorize, please notify us at once. If you do not notify us within sixty (60) days after the paper or online statement was sent to you, and we could have stopped someone from taking money if you had told us in time, you may not get back any money lost after the sixty (60) days. If extenuating circumstances, such as a long trip or hospital stay, kept you from telling us, the time periods in this section will be extended.

The Services may become unavailable at any time for any reason outside of the reasonable control of Roxboro Savings Bank or any service provider.

WAIVER OF JURY TRIAL. YOU AND ROXBORO SAVINGS BANK EACH HEREBY WAIVE ANY AND ALL RIGHTS IT MAY HAVE TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTES, LITIGATIONS, PROCEEDING OR COUNTERCLAIM ARISING WITH RESPECT TO RIGHTS AND OBLIGATIONS UNDER THIS AGREEMENT, ONLINE BANKING, AND SERVICES PROVIDED UNDER THIS AGREEMENT, AND ANY DISCUSSIONS, NEGOTIATIONS OR COMMUNICATIONS INVOLVING OR RELATED TO THIS AGREEMENT OR ONLINE BANKING.

Acceptance

This Online/Internet Banking Agreement for accessing your account via Roxboro Savings Bank Online/Internet Banking explains the terms and conditions governing the following online services: Online Banking and other banking services offered through Roxboro Savings Bank. You acknowledge that "other banking services" include (but is not limited to) Online Bill Payment Services and Mobile Banking/Mobile Remote Deposit Capture Services which require a separate agreement to terms and conditions prior to enrollment. By using Online/Internet Banking Services you agree to abide by the terms and conditions of this Online/Internet Banking Agreement.

End of Agreement.
